linkmimi.com Terms of Service

This document sets out the standard Terms and Conditions between linkmimi.com Link Provider
(linkmimi) and Website Advertisers (the Advertiser),

1.1. linkmimi.com agrees to place advertisements (the Ads) in the Company’s website/s (the Website) containing links to specified URLs belonging to the Advertiser or their client/s (the Client).
1.2. The Ads will be placed in the position and URL within the Website as agreed between linkmimi.com and the Advertiser. By default the Ads are placed in the page Sidebar (left ot right) and are not sitewide.
1.3. linkmimi.com agrees to keep the Ads active, operational and in position for the duration of the Term and in compliance with the Advertiser’s reasonable requests in relation to the Ad.
1.4. In case the publication of the Ads becomes no longer possible due to technical or some other reasons prior to deal expiration, linkmimi.com agrees to relocate the Ads to a Website of equal value at no additional costs on request of the Advertiser.
1.5. The Advertiser agrees that the Ad details are to be specified before the Ad Placement, and any request for modifications during the Term will need to be reviewed by linkmimi.com and may invlove additional fees.
1.6. linkmimi.com reserves the right to modify its Services at any time, including the discontinuation thereof.

2.1. The Advertiser agrees to pay linkmimi.com an agreed fee for providing the Services prior to Ad publication or within 5 days from the date on which the Ad was published on the Website. In case the payment is not made within 5 days upon Ad publication, the Ad will be removed, and further provision of the Services will be available on terms of full prepayment only.
2.2. linkmimi.com agrees to refund the whole Fee on condition that the compensation is claimed within 1 day upon Ad publication, and if the Website does not correspond to the specifications declared prior to the Agreement.

3.1. linkmimi.com agrees to provide the Services for a period of 1-12 months from the date the Ad is placed and is active on the Website, unless otherwise agreed.
3.2. In the event the Advertiser chooses to discontinue the Ad prior to deal expiration, the Advertiser will not be entitled to recover the Fee.

4.1. linkmimi.com will not display Ads containing illegal, infringing, obscene, violent, abusive, discriminatory or racist content, nor links to websites displaying such content, including but not limited to activities requiring regulatory approval, violating the security of any computer network, or any other content specified by linkmimi.
4.2. In addition, the Advertiser agrees not to run the Ads with content that may damage the reputation, brands or goodwill of the Website or linkmimi.
4.3. The Advertiser agrees not to make any disclosures, comments or representation whatsoever in relation to the Agreement between linkmimi.com and the Advertiser, these Terms and Conditions, the Services, the Fee, linkmimi.com or other Advertisers.

5.1. The Advertiser agrees to keep any information received for the provision of the Services confidential, including any information in relation to the Agreement between linkmimi.com and the Advertiser, these Terms and Conditions, the Services, the Fee, linkmimi.com or other Advertisers.
5.2. The Advertiser agrees not to divulge, record, or abuse any information pertaining to Websites found in linkmimi.com inventory, including but not limited to URLs, descriptions, and other info.

6.1. The Advertiser agrees to indemnify and keep linkmimi.com harmless from any breach of these Terms and Conditions and/or any claim brought against linkmimi.com resulting from the provision of the Services, without limitation.

7.1. Any dispute in relation to this agreement will be decided in Las Vegas, Nevada (US) by one impartial arbitrator designated by linkmimi.com according to the US law or as otherwise agreed with the Advertiser.

8.1. linkmimi.com and the Advertiser agree to exchange comments, feedback or request information as often as necessary for the good operation of the Services.
